These Terms of Use explain, in plain language backed by full legal detail, how Verified Biz Exchange works, what we promise you, and what we ask of you in return — as a verification and advertising agency operating Kenya's business marketplace.
In short: Verified Biz Exchange helps verified sellers advertise businesses, franchises, leases, and rentals for sale to genuine buyers across Kenya. Paid Advertising Packages carry a flat, one-time fee and zero commission on your sale price; the Free tier has no upfront fee but carries a 15% commission on a confirmed sale. We are an advertising and verification agency, not a broker, an escrow agent, or a party to any deal you make. Read on for the full, legally binding detail.
Welcome to Verified Biz Exchange ("VBE," "we," "us," or "our"). These Terms of Use ("Terms") form a legally binding agreement between you and Verified Biz Exchange governing your access to and use of the website located at verifiedbizexchange.com, together with all related subdomains, mobile-optimised pages, dashboards, applications, and services (collectively, the "Platform" or "Services").
These Terms are drafted to comply with, and are interpreted in accordance with, the applicable laws of the Republic of Kenya, including but not limited to the Constitution of Kenya, 2010, the Consumer Protection Act, No. 46 of 2012, the Data Protection Act, No. 24 of 2019, the Business Registration Service Act (Cap. 499), the Business Names Act (Cap. 499), the Computer Misuse and Cybercrimes Act, No. 5 of 2018, the Kenya Information and Communications Act (Cap. 411A), the Copyright Act (Cap. 130), the Law of Contract Act (Cap. 23), and the Competition Act, No. 12 of 2010.
By creating an account, submitting a listing, applying for verification, purchasing an advertising package, or otherwise using the Platform in any way, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.
To keep these Terms readable, capitalised words carry the specific meanings below wherever they appear.

Verified Biz Exchange is a business name registered in Kenya under the Business Registration Service Act (Cap. 499, Section 14), with Business Registration Number BN-AYSOQ59Q, as recorded by the Registrar of Companies. Verified Biz Exchange operates as a registered business name; it is not incorporated as a limited liability company under the Companies Act, 2015, and these Terms should be read and interpreted on that basis, including as regards ownership, liability, and contractual capacity.
Our principal place of business is in Karatina, Nyeri County, Kenya. You can reach us using the details in Section 26 (Contact Us).
We are a registered Kenyan business — a verification-and-advertising agency — rather than a limited company. This matters legally because it affects how contracts are formed with us and how liability is treated, as explained further in Sections 18 and 19.
You accept these Terms, and they become binding on you, the moment any of the following occurs:
If you fill in the seller verification form on our /verify page and tick "I accept the Terms of Use and Declaration" before paying the KES 999 verification fee, you have accepted these Terms in full — including the sections on fees, prohibited conduct, and dispute resolution — even if you never read every line.
If you do not agree to these Terms, you must not use the Platform.
To use the Platform, you must:
Submitting a National ID, KRA PIN, or business ownership document that does not belong to you, or that has been altered, is a criminal offence in Kenya under the Computer Misuse and Cybercrimes Act, 2018, and the Penal Code (Cap. 63), in addition to being grounds for immediate suspension and blacklisting under these Terms.
Verified Biz Exchange operates as a verification and advertising-technology agency, presented as a business marketplace. This distinction is central to these Terms and to how disputes are resolved, so please read it carefully.
Unlike a traditional business broker, VBE does not negotiate on your behalf, does not hold your funds, and does not sign sale, lease, or franchise agreements for you. Sellers on a paid Advertising Package (Featured, Spotlight, or Hero) pay a transparent, flat, one-time fee and owe us no percentage of their final sale price. Sellers who list under the Free tier pay no upfront fee at all, but in exchange owe VBE a success commission of 15% of the agreed sale price, charged only if and when the business actually sells — see Section 6.4 and Section 11.1.
Any agreement to sell, buy, lease, rent, or franchise a business that results from a connection made through the Platform is a private transaction strictly between the Seller and the Buyer (or franchisor and franchisee). VBE is not a party to, and assumes no responsibility for, the negotiation, drafting, performance, or enforcement of that agreement.
VBE does not hold, transfer, or safeguard purchase money, deposits, or lease payments between Buyers and Sellers. All such payments are arranged directly between the parties, and we strongly recommend using a licensed advocate or a regulated escrow provider for any transfer of business ownership or funds.
If you find a hardware shop for sale on VBE and agree to buy it for KES 3,500,000, you and the seller — not VBE — are responsible for drafting the sale agreement, verifying stock and licences, transferring the business name or company shares at the Registrar's office, and settling payment. VBE's role ended once it connected you with a verified seller.
VBE is compensated in one of two ways, depending on the package a Seller chooses when publishing a Listing, and never both at once for the same Listing:
"Zero commission" describes our paid packages, not every way of listing on VBE. If you'd rather not owe us a slice of your sale price at all, choose a paid package upfront. If you'd rather pay nothing until your business sells, the Free tier is the trade-off, and the 15% only applies to a confirmed sale — never to leads, enquiries, or a business that never sells.
Certain features of the Platform, including submitting a Listing, tracking a verification application, or purchasing an Advertising Package, require you to register an account.
You agree to provide truthful, accurate, and up-to-date information when registering, and to promptly update it if it changes (for example, a new phone number or email address).
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. We strongly encourage you to enable Two-Factor Authentication (2FA) using an authenticator app (such as Google Authenticator, Microsoft Authenticator, or Authy), which the Platform supports through time-based one-time passcodes and single-use backup codes. Details of how your 2FA secrets and backup codes are encrypted and stored are set out in the Security section of our Privacy Policy. If you lose access to your 2FA device, contact support immediately using the details in Section 26.
If someone gains access to your account because you shared your password with a friend, and that person publishes a fraudulent listing, you remain responsible for that listing under these Terms unless you can show VBE that the access was unauthorised and was reported promptly.
Only Sellers who complete our verification process may publish a live Listing on the Platform. This is the foundation of the trust we offer Buyers.

Verification carries a one-time fee, currently KES 999 (exclusive of VAT), payable via M-Pesa, Pesapal, or Paystack. This fee covers the cost of the verification checks and is charged regardless of whether your application is ultimately approved, since the checks are performed either way. The current fee is always shown to you before payment and may be updated by VBE from time to time; the version shown at the time of your application governs your application.
Applications are typically reviewed, and a decision communicated, within forty-eight (48) hours of a complete submission and successful payment. VBE may request additional documents or a phone call, which can extend this timeline. VBE does not guarantee any specific review time and is not liable for delays caused by incomplete applications, document quality issues, or third-party system outages (for example, IPRS or Paystack downtime).
Sellers who pass verification are awarded the "Blue Badge," a trust mark displayed on their Listings. The Blue Badge indicates that VBE has performed the checks described above at the time of approval — it is not a guarantee, warranty, or certification that the business, its financial claims, or its legal standing remain accurate at any later date, or that the transaction you enter into will be free of risk.
The Blue Badge tells you we checked who someone is and that their business is registered where they say — not that every number in their listing (like monthly profit) is guaranteed accurate. Always do your own due diligence, as explained in Section 10.
VBE may reject a verification application for reasons including but not limited to: mismatched identity documents, unresolved tax non-compliance, inability to confirm business location, incomplete documentation, or any indicator of fraud. Rejected applicants may be permitted to reapply after addressing the stated reason, at VBE's discretion, and generally without an additional Verification Fee for a reasonable follow-up attempt within a reasonable period, unless the rejection was fraud-related.
Kenya's Proceeds of Crime and Anti-Money Laundering Act, No. 9 of 2009 (POCAMLA), and related regulations, require heightened vigilance around large or unusual transactions. In line with this, VBE reserves the right to:
If you're buying or selling a business worth a significant amount, don't be surprised if we ask a few extra questions about where the money is coming from or going to — this is a legal obligation on our part, not a judgment about you.
By submitting a Listing (including a business-for-sale, commercial lease, rental, or franchise opportunity), you warrant that:
Publishing false financial figures (for example, overstating monthly profit) to induce a Buyer to purchase is fraudulent misrepresentation under Kenyan contract law and consumer protection law, and may expose you to civil liability to the Buyer and criminal liability under the Penal Code, independently of any action VBE takes against your account.
Where a Listing describes a franchise opportunity, the franchise fee, minimum and maximum investment range, royalty terms, and outlet count are supplied by the Franchisor and are not verified figures unless expressly stated. Any franchise agreement is a separate legal contract entered into directly between the Franchisor and the Franchisee; VBE is not a party to it and does not review, approve, or guarantee its terms.
VBE's team reviews submitted Listings before they go live, generally within one business day, for completeness and to screen out obviously prohibited or fraudulent content. This review is a quality check, not a full audit of every claim in the Listing, and does not shift responsibility for accuracy away from the Seller.
VBE may edit, suspend, or remove any Listing at its discretion, including where it appears inaccurate, discovers the underlying business is unlawful, receives a credible complaint, or where fees for continued publication have not been paid.
If a seller lists a bar in Kisumu but a Buyer reports, and VBE confirms, that the premises has no valid liquor licence, VBE may remove the Listing and require the Seller to resolve the licensing issue before republishing — separately from any action the county authorities may take.
If you come across a Listing you believe is fraudulent, misleading, discriminatory, or otherwise breaches these Terms, please report it to support@verifiedbizexchange.com or through the "Legal / Terms Query" option on our Contact page, including the Listing link or reference number and a description of the concern. VBE will review reported Listings and, where warranted, take action ranging from requesting clarification from the Seller to immediate removal and blacklisting under Section 21. We aim to acknowledge reports within one business day, though investigating a report may take longer depending on its complexity.
If you notice that the same restaurant appears twice under two different seller names with different asking prices, reporting it lets our team investigate whether one Listing is fraudulent before another Buyer is misled.
Buyers and franchise enquirers are solely responsible for conducting their own due diligence before committing to any transaction, including but not limited to:
Before wiring a deposit for a franchise territory advertised on VBE, a prudent Buyer would ask the Franchisor for audited accounts of existing outlets, confirm the franchise fee directly with the Franchisor, and have an advocate review the franchise agreement — rather than relying solely on the Listing description.
Buying, selling, leasing, or franchising a business in Kenya can trigger tax and statutory obligations for the parties involved, which are entirely separate from, and not handled by, VBE. Depending on the structure of the transaction, these may include:
Sellers and Buyers are each responsible for their own tax filings, payments, and compliance arising from their transaction. VBE strongly recommends engaging a qualified tax advisor or advocate before completing any sale, and neither VBE's verification of a Seller nor the Blue Badge implies that any tax matter relating to the transaction has been reviewed or cleared.
If you sell your bakery for KES 4,000,000 through a Listing on VBE, you — not VBE — are responsible for determining whether Capital Gains Tax is due on that sale and for filing it with KRA. VBE's role was limited to verifying you and advertising the Listing.
VBE currently charges the following categories of fees, each shown to you in full, VAT-inclusive detail before you pay:

Fee amounts are set and may be revised by VBE's pricing system from time to time; the amount displayed to you at the point of payment (or, for the Free Tier Success Commission, the rate published on the Pricing page at the time your Listing was confirmed sold) is the amount that applies. All prices are exclusive of Value Added Tax (VAT) at the statutory rate (currently 16%) under the Value Added Tax Act, No. 35 of 2012, unless stated as VAT-inclusive.
Payments are processed through M-Pesa Paybill, Pesapal, and Paystack. VBE does not accept international wire transfers or foreign-currency invoicing for standard Fees. You authorise VBE and its payment processors to charge the payment method you provide for the Fee amount displayed to you. See Section 12 of our Privacy Policy for what payment data VBE does, and does not, receive from these processors.
A VAT-compliant invoice is generated for every successful payment and made available in your dashboard, itemising the Fee, applicable VAT, and payment reference, for your accounting and Kenya Revenue Authority compliance purposes.
Because the Verification Fee covers the cost of checks that are performed regardless of outcome, and Advertising/Listing fees pay for ad inventory and platform placement that is committed once a campaign goes live, Fees are generally non-refundable once the corresponding service has commenced, except:
Monthly Advertising Packages may be paused or cancelled by the Advertiser giving at least seven (7) days' written notice to support@verifiedbizexchange.com before the next billing date. Notice given with less than seven days remaining before renewal will take effect from the following billing cycle.
If your Growth Package renews on the 20th of the month and you email us on the 15th asking to cancel, your cancellation is honoured before the next charge. If you email on the 18th (fewer than 7 days before renewal), the package renews once more and then stops.
Because VBE is not a party to your transaction (Section 6.2) and does not hold your sale proceeds (Section 6.3), the 15% success commission on a Free-tier Listing is collected as follows:
The Free tier runs on trust plus spot-checks, not on VBE controlling your money. Tell us honestly when you've sold, we'll invoice our 15% share of the price you actually agreed, and you settle it like any other invoice. Sellers who prefer to avoid this altogether can pick a paid, zero-commission package from the start.
A core part of VBE's model is pooling Sellers' and Advertisers' promotional budgets to purchase digital advertising inventory on platforms such as Meta (Facebook and Instagram) and Google at rates more favourable than an individual business owner could typically access alone.
VBE publicly commits that, of every Advertising Package fee collected (exclusive of VAT), approximately 60% is applied directly toward purchasing advertising inventory from Meta and Google on your behalf, and the remaining 40% is retained by VBE as our agency fee, covering copywriting, creative design, audience targeting, campaign management, the live performance dashboard, and platform operations.
If you pay KES 10,000 (excluding VAT) for an advertising package, roughly KES 6,000 is spent buying ad space on Meta or Google to promote your listing, and roughly KES 4,000 covers our agency's work and running the platform. We disclose this split because most agencies do not.
While VBE will use commercially reasonable efforts to deliver impressions, clicks, and enquiries in line with the package purchased, and provides a live dashboard showing real performance data, VBE does not guarantee any specific number of buyer enquiries, any specific sale outcome, or any specific advertising cost-per-result, since these depend on factors outside VBE's control, including third-party ad-platform auctions, market demand, and the attractiveness of your own Listing. The impression, click, and county-level data that powers this dashboard is described in Section 10 of our Privacy Policy.
VBE may edit, resize, or adjust the images, headlines, or descriptions you submit for advertising purposes to comply with Meta and Google advertising policies, or Kenyan advertising standards, without altering the substantive claims made about your business.
Businesses that are not listed for sale on VBE (for example, service providers wishing to reach our audience of entrepreneurs and investors) may also purchase Advertising Packages under this Section 12, subject to the same fee, payment, and cancellation terms described in Section 11.
You agree that you will not, and will not attempt to:
VBE actively blocks known scraping tools and bots and maintains a shared blacklist of phone numbers, national ID numbers, and email addresses associated with confirmed fraud. Being added to this blacklist prevents you from creating new accounts or Listings on the Platform.
The Platform, including its design, logo, "Verified Biz Exchange" name and mark, source code, layout, and all Content created by VBE (such as text, graphics, and the Blue Badge design), is owned by or licensed to VBE and is protected under the Copyright Act (Cap. 130) and applicable trademark law in Kenya.
You may not copy, reproduce, republish, scrape, frame, or create derivative works from the Platform or its Content for any commercial purpose without VBE's prior written consent. You may share links to individual Listings for personal, non-commercial purposes (for example, sending a Listing link to a friend on WhatsApp).
This prohibition is backed by technical controls, not just this clause: our published crawler rules at robots.txt identify which pages may be indexed and which may not, our Sitemap, Section 11 ("Pages We Keep Private") explains why certain systems are never linked publicly, and the rate-limiting and anti-scraping measures behind both are described in Privacy Policy, Section 15 ("How We Protect Your Data"). Circumventing these controls to copy Listing data at scale is itself a breach of this Section, in addition to any liability under the Computer Misuse and Cybercrimes Act, No. 5 of 2018.
When you submit Content to the Platform — including business descriptions, photographs, franchise details, and testimonials — you grant VBE a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, adapt (for formatting or advertising-platform compliance), and distribute that Content:
You confirm that you own, or have the necessary rights to, all Content you submit, and that its use by VBE as described above will not infringe any third party's rights.
If you upload photographs of your salon when creating your Listing, VBE may use those same photographs in a Facebook or Google ad promoting your Listing as part of your paid promotion package, without needing to ask you separately each time.
Where you submit feedback, a review, or a testimonial about VBE through our feedback forms or otherwise, you grant VBE the same licence described above to display, edit for length or clarity, and publish that feedback — in whole or in part — on the Platform, in marketing materials, and in advertising creatives, attributed to your first name and general location (for example, "Amina, Nairobi") unless you ask us in writing to withhold attribution or remove the testimonial. You may withdraw your consent to future use of a testimonial at any time by contacting support@verifiedbizexchange.com; this does not affect material already published before your request.
The Platform integrates with, and may display links to, third-party services including M-Pesa Daraja, Pesapal, Paystack, eCitizen/IPRS, and social networks such as Meta and Google. VBE is not responsible for the availability, security, accuracy, or performance of these third-party services, which are governed by their own terms and privacy policies. Where a third-party payment processor experiences downtime or an error, VBE will act in good faith to resolve payment discrepancies but is not liable for losses caused directly by that third party's failure. For a full list of who we share your personal data with, and why, see Section 11 of our Privacy Policy.
To the fullest extent permitted under Kenyan law, the Platform and all Content on it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Without limiting the foregoing, VBE does not warrant that:
Nothing in this Section excludes or limits any warranty or right that cannot lawfully be excluded or limited under the Consumer Protection Act, No. 46 of 2012, or any other mandatory provision of Kenyan law.
To the maximum extent permitted by law, VBE, its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, or goodwill, arising out of or in connection with:
Where liability cannot be excluded under Kenyan law, VBE's total aggregate liability to you for any claim arising from these Terms or your use of the Platform is limited to the total Fees you paid to VBE in the twelve (12) months immediately preceding the event giving rise to the claim.
If a business you bought through VBE turns out to have financial problems the seller hid from you, your claim is against that seller, not VBE — because VBE verified who they are, not the truth of every figure they entered. Our own financial exposure to you is capped at what you paid us in fees, except where the law says it cannot be capped.
You agree to indemnify and hold harmless VBE, its owners, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable advocates' fees) arising out of: (a) your breach of these Terms; (b) any Listing, document, or information you submit that is false, misleading, or infringes a third party's rights; or (c) your violation of any applicable Kenyan law in your use of the Platform.
VBE collects and processes personal data — including National ID numbers, KRA PINs, contact details, device and location information, and website analytics — in order to operate the verification process, publish Listings, process payments, and improve the Platform. This processing is carried out in accordance with the Data Protection Act, No. 24 of 2019, and under the oversight of the Office of the Data Protection Commissioner (ODPC).
Sensitive verification documents, such as National ID copies and KRA PIN certificates, are held in encrypted storage. Full details of what we collect, why, how long we retain it, and your rights as a data subject are set out in our separate Privacy Policy, which forms part of these Terms. In particular, see:
VBE may suspend or terminate your account, or remove any Listing, immediately and without prior notice where we reasonably believe you have breached these Terms, engaged in fraud, or where required by law or a government authority. Where the breach involves confirmed fraud (for example, a fabricated business or forged documents), your identifying details (phone number, National ID, or email) may be added to VBE's internal blacklist, preventing future registrations. How long blacklist and other account records are retained is explained in Section 14 of our Privacy Policy.
You may close your account at any time by contacting support@verifiedbizexchange.com. Closing your account does not entitle you to a refund of Fees already incurred for services already rendered, except as set out in Section 11.4.
On termination, your right to access the Platform ends immediately, though these Terms' provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.
These Terms, and any dispute arising out of or in connection with them or the Platform, are governed by the laws of the Republic of Kenya.
Before commencing any formal proceedings, you agree to first contact VBE at support@verifiedbizexchange.com to attempt to resolve the dispute informally. Most complaints — including billing queries and Listing disputes — are resolved at this stage.
If a dispute cannot be resolved informally within thirty (30) days, either party may refer it to arbitration conducted in Nairobi, Kenya, in the English language, before a single arbitrator appointed in accordance with the Arbitration Act, No. 4 of 1995 (Laws of Kenya). The arbitrator's award shall be final and binding on both parties, subject to any right of appeal or review preserved by that Act.
Nothing in this Section prevents either party from seeking urgent injunctive relief from a competent court in Kenya (including the High Court of Kenya or the Milimani Commercial and Tax Courts) where necessary to prevent irreparable harm, or from exercising any right that consumer protection law reserves for court proceedings.
VBE may update these Terms from time to time to reflect changes in our Services, Fees, or legal requirements. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or an in-Platform notice. Your continued use of the Platform after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree with a revision, you should stop using the Platform and may close your account as described in Section 21.2.
By using the Platform, you consent to receive communications from VBE electronically, including by email, SMS, and WhatsApp, in relation to your account, verification status, Listings, and Fees. Such communications satisfy any legal requirement that they be in writing, to the extent permitted under the Kenya Information and Communications Act (Cap. 411A) and related electronic transactions law.
VBE shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to internet or power outages, failures of M-Pesa, Pesapal, Paystack, Meta, Google, or IPRS systems, natural disasters, civil unrest, changes in law, or government action.
These Terms, together with our Privacy Policy and any package-specific terms shown to you at the point of purchase, constitute the entire agreement between you and VBE regarding your use of the Platform, superseding any prior agreements on the same subject.
If any provision of these Terms is found by a court or arbitrator to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
VBE's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without VBE's prior written consent. VBE may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
These Terms are drafted in English. Any translation provided is for convenience only, and the English-language version prevails in the event of any conflict.
Notices to VBE should be sent to the contact details in Section 29. Notices to you may be sent to the email address, phone number, or WhatsApp number associated with your account.
We want every genuine Kenyan buyer and seller to be able to use the Platform, including people using assistive technology, older devices, or slower mobile connections common outside major towns. VBE aims to build pages using clear text alternatives for images, keyboard-navigable menus, and colour contrast that remains legible in bright outdoor light, broadly in line with the Web Content Accessibility Guidelines (WCAG) 2.1 at Level AA where practicable.
This is an ongoing effort rather than a finished state. If you encounter a page, form, or feature that is difficult to use because of a disability, an assistive device, or your connection quality, please tell us at support@verifiedbizexchange.com with the page URL and a description of the issue, and we will prioritise a fix and, where a fix will take time, offer a manual alternative (for example, completing a verification application by phone) in the meantime.
Section 22 sets out how disputes between you and VBE are resolved. Separately, and without needing to go through that process first, Kenyan law gives you the right to raise certain concerns directly with the relevant regulator:
